These Terms & Conditions (the “Terms“) govern your access to and use of bellethy.com (the “Site“) and any purchase you make from Bellethy (“Bellethy,” “we,” “us,” or “our“). Please read them carefully. They contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you.

1. Agreement to these Terms

By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site or place an order. If you are using the Site on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms.

2. About Bellethy

Bellethy is a beauty and wellness brand that sells cosmetics, skincare, and personal-care products through the Site. To manufacture, label, brand, warehouse, and ship our products, we work with third-party manufacturers, private-label partners, warehouses, logistics companies, and fulfillment providers. Bellethy remains responsible for the customer-facing store relationship with you unless we clearly disclose otherwise. The involvement of a fulfillment partner does not change the fact that your purchase contract for products displayed on the Site is with Bellethy.

3. Eligibility

To purchase from the Site, you must be at least the age of majority in your jurisdiction (typically 18) and able to form a legally binding contract, or you must have the involvement and consent of a parent or legal guardian. You agree to use the Site only for lawful purposes and in compliance with these Terms and all applicable laws.

4. Customer accounts

You may create an account to place orders and manage your purchases. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated. Notify us promptly if you suspect any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are associated with fraud or abuse.

5. Accuracy of information

We work to keep the information on the Site accurate and up to date, but we do not warrant that product descriptions, pricing, availability, or other content are always error-free, complete, or current. We reserve the right to correct any errors or omissions and to change or update information at any time without prior notice, including after an order has been submitted (see Section 9 and Section 10).

6. Product descriptions

We make reasonable efforts to display our products — including their colors, ingredients, sizes, quantities, packaging, and descriptions — as accurately as possible. However, you acknowledge that reasonable variations can occur, including as a result of:

• Your monitor, screen, or device color and brightness settings;
• Photography, styling, and lighting;
• Manufacturing tolerances and natural batch-to-batch differences;
• Periodic packaging or formulation revisions by our suppliers.

Such reasonable variations do not constitute a defect. If a product you receive is materially different from its description, please see our Return & Refund Policy.

7. Cosmetic products and claims

Our products are cosmetics and personal-care items. Except where a specific product is lawfully marketed for a particular purpose, Bellethy products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. Statements on the Site describe cosmetic benefits (such as appearance, hydration, or feel) and are not medical claims. Nothing on the Site is medical advice. If you have a medical condition or concern, consult a qualified healthcare professional.

8. Ingredients and allergies

Please review the ingredient list, directions, and any warnings for each product before use, and patch-test where recommended. If you have known allergies or sensitivities, check the ingredients carefully and consult a healthcare professional if you are unsure. Discontinue use and seek medical advice if you experience irritation or an adverse reaction. You are responsible for determining whether a product is suitable for you.

9. Orders

Your submission of an order is an offer to purchase. All orders are subject to acceptance by us, and an order confirmation email acknowledges receipt but does not by itself constitute acceptance. We may refuse, cancel, or limit any order, in whole or in part, for legitimate reasons, including:

• Payment problems or failed authorization;
• Suspected fraud or unauthorized activity;
• Product unavailability;
• Errors in pricing or product information;
• Shipping restrictions to your location;
• Legal or regulatory restrictions;
• Quantity limits or suspected reseller activity.

If we cancel an order for which you have already paid, we will issue a refund for the cancelled items.

10. Pricing

Prices are shown in U.S. dollars (USD) unless stated otherwise and may change at any time. Despite our efforts, a product may occasionally be mispriced. If a product’s correct price is higher than the price shown, we will, at our discretion, either contact you for instructions before shipping or cancel the affected order and notify you. We are not obligated to honor an obvious pricing error.

11. Taxes

Applicable sales tax, VAT, duties, or other taxes may be added to your order as required by law and calculated based on your order and shipping destination. Where taxes are not collected at checkout, you may be responsible for any taxes, duties, or customs charges assessed by the destination jurisdiction.

12. Payments

Payments are processed by third-party payment processors. By submitting payment information, you represent that you are authorized to use the payment method and you authorize us (through our processor) to charge the total order amount, including taxes and shipping. Bellethy does not store your full payment card number. If your payment cannot be processed or is later reversed, we may cancel or hold your order.

13. Product availability

All products are offered subject to availability. We may add, change, limit, or discontinue any product at any time, and quantities may be limited. Displaying a product on the Site is not a guarantee that it is or will remain available.

14. Out-of-stock situations

If a product becomes unavailable after you order, we will notify you and either offer a comparable alternative, place the item on backorder with your consent, or cancel the affected portion of your order and refund it. We are not liable for products that are out of stock or discontinued.

15. Production and fulfillment

Some Bellethy products are produced, labeled, or branded by our fulfillment partner after an order is placed (on-demand and private-label production). For these items, total delivery time has two distinct stages:

• Production time — the time needed to manufacture, label, brand, and package your item before it ships. This happens before a carrier is involved.
• Transit time — the time the shipping carrier takes to deliver the package after it leaves the fulfillment facility.

Estimated production and transit times are estimates, not guarantees, and are described further in our Shipping Policy.

16. Order modification and cancellation

We will try to accommodate reasonable change or cancellation requests, but because on-demand and branded orders can enter production quickly, we cannot guarantee that a change or cancellation is possible once any of the following has begun:

• Production;
• Printing or labeling;
• Packaging;
• Shipment preparation;
• Carrier handoff.

To request a change or cancellation, contact us as soon as possible using the details in Section 34. Once an order has shipped, it is governed by our Return & Refund Policy.

17. Shipping

Shipping options, estimated timeframes, costs, and destinations are described in our separate Bellethy Shipping Policy, which is incorporated into these Terms by reference. Risk of loss for products passes to you upon delivery to the carrier, unless applicable law requires otherwise.

18. Returns and refunds

Returns, exchanges, and refunds are governed by our separate Bellethy Return & Refund Policy, which is incorporated into these Terms by reference. For health and hygiene reasons, certain opened or used cosmetic products may not be eligible for return except where required by law or where the product is defective or was sent in error.

19. Promotions and discount codes

Promotions, coupon codes, and discounts are offered at our discretion and may be subject to additional terms, minimum purchase amounts, expiration dates, and eligibility requirements. Unless expressly stated, offers cannot be combined, have no cash value, and apply only while supplies last. We may modify, suspend, or cancel a promotion, and may decline or void a discount, where we reasonably detect abuse, fraud, duplicate or stacked promotions, reseller activity, or a pricing or technical error.

20. Intellectual property

The Site and its content — including the Bellethy name, logo, and brand elements, together with all website content, original photography, graphics, copy, product branding, and their selection and arrangement — are owned by or licensed to Bellethy and are protected by intellectual-property laws. You may not copy, reproduce, republish, distribute, modify, or create derivative works from any part of the Site or our branding without our prior written permission, except that you may view and use the Site for your own personal, non-commercial shopping purposes. All rights not expressly granted are reserved.

21. Product reviews and user content

If you submit a review, comment, photo, or other content (“User Content”), you are responsible for it and represent that it is truthful, is your own or properly licensed, and does not violate any law or third-party right. We welcome honest feedback, including honest criticism, and we will not remove a genuine review simply because it is negative. We may, however, remove or decline User Content that is unlawful, fraudulent, off-topic, infringing, abusive, or that contains personal data, spam, or malware. By submitting User Content, you grant Bellethy a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and adapt it in connection with our business and marketing, with attribution where reasonable.

22. Prohibited conduct

When using the Site, you agree not to:

• Violate any law or regulation, or infringe anyone’s rights;
• Submit false, fraudulent, or misleading information, or use another person’s payment method without authorization;
• Interfere with or disrupt the Site, its security, or its underlying infrastructure;
• Attempt to gain unauthorized access to any account, system, or data;
• Use bots, scrapers, or automated means to access or harvest the Site except as permitted by our robots directives;
• Resell products obtained from the Site without authorization, or place orders in a manner intended to abuse promotions;
• Upload viruses or malicious code, or use the Site to transmit unlawful, harassing, or abusive material.

23. Third-party links and services

The Site may link to or rely on third-party websites and services (such as payment processors, carriers, and fulfillment partners). We do not control and are not responsible for the content, policies, or practices of third parties. Your dealings with third parties are between you and them, and may be subject to their own terms and privacy policies.

24. Website availability

We aim to keep the Site available but do not guarantee uninterrupted or error-free access. The Site may be unavailable from time to time due to maintenance, updates, technical issues, or events beyond our control. We may modify, suspend, or discontinue any part of the Site at any time without liability.

25. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Site and the products are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any product will meet your expectations beyond what is required by law. Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable consumer-protection law.

26. Limitation of liability

To the maximum extent permitted by applicable law, Bellethy and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site or any product. To the maximum extent permitted by law, our total aggregate liability for any claim relating to an order will not exceed the amount you paid for the product(s) giving rise to the claim. These limitations do not apply to liability that cannot be limited or excluded under applicable law, including certain consumer rights, and liability for death or personal injury caused by negligence, fraud, or willful misconduct.

27. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Bellethy and its officers, employees, and partners from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Site, your User Content, or your violation of any law or third-party right.

28. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, extreme weather, epidemics or pandemics, war, civil unrest, strikes, supplier or carrier failures, utility or internet outages, or governmental actions.

29. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

30. No waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing to be effective.

31. Entire agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and Bellethy regarding the Site and your purchases, and supersede any prior agreements on that subject.

32. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” above. Changes apply prospectively from the date they are posted. Your continued use of the Site or placement of new orders after changes take effect constitutes acceptance of the revised Terms.

33. Governing law

These Terms and any dispute arising out of or relating to them or your use of the Site are governed by the laws of the State of [REQUIRES GOVERNING LAW / STATE], United States, without regard to its conflict-of-laws rules, and, where applicable, by U.S. federal law. Nothing in this section deprives you of the protection of mandatory consumer-protection laws of the jurisdiction in which you reside.
